Events/Services TGS actively provides access to thousands of events around the world through numerous agent /partners. TGS is not the issuer, original seller or a reseller of tickets. Please note that often when purchasing tickets, you are purchasing tickets above face value, which may include service charge(s) reflecting costs and efforts in obtaining premium seats. Ticket prices are not set by TGS and are subject to market conditions and demand. In the events of show cancellations directly by the artist/promoter, TGS will issue a refund. TGS or its ticket agent partner will dispatch your tickets by courier service. Please note that neither TGS nor its ticket agent partners can be held liable for any failure by the courier to deliver your tickets. Please read the refund and cancellation policy before the booking. By paying through any payment link you confirm that you have read the terms and conditions of the respective bookings with refunds and cancellation policies. Payment: In case of any delay in payment by the CLIENT of the invoices, The Growing Sphere (TGS) /Growing Sphere Private Limited (GSPL), reserves right to charge interest @ 16 % p.a. Customer satisfaction survey: TGS, at its own cost, shall be allowed to conduct customer satisfaction survey at periodical intervals Force Majeure: Neither party shall hold the other liable for its inability to perform its obligations under this Agreement due to reasons beyond its reasonable control. Notwithstanding any of the provisions of this Agreement, flood, fire, earthquakes, strikes, riots, natural calamities, war, epidemics, accidents, government embargoes introduced after this contract came into existence, any change in law or other exercise of a sovereign or executive prerogative by the Govt. of India or any other authority or invocation of force majeure clause by the vendors of The Growing Sphere in respect of the services under this Agreement, suspension / cancellation of the services by the airlines / hotels shall include conditions of force majeure. Neither TGS nor the CLIENT shall in any circumstances have any liability whatsoever for any indirect or consequential loss, including, without limitation, loss of profit, revenue or goodwill, resulting from negligence or willful default or any breach or non-performance of this Agreement or any misrepresentation (other than fraudulent) or any other tort, including negligence, on the part of TGS or the CLIENT or their representatives. Neither Party shall use the name of the other in connection with any products, publicity, promotion or advertising without the prior written permission of the other Party No admission or delay on the part of any Party hereto in requiring the due and punctual fulfillment by other Party hereto of the obligations of such other Party hereunder shall be deemed to constitute a waiver by the omitting or delaying Party of any of its rights to require such due and punctual fulfillment. This Agreement represents the entire agreement and understanding between the Parties with respect to its subject matter and supersedes any prior or contemporaneous discussions, representations, or agreements, whether written or oral, of the Parties regarding this subject matter. In the event of any disputes or disagreement under or in relation to this Agreement or over the interpretation of any of the terms herein above contained or any claim or liability of any party, the same shall first be referred to committee comprising of COE of The Growing Sphere and the nominee of the CLIENT. If this committee fails to resolve the dispute within thirty days from the date the dispute is referred to it, then the same shall be refereed to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The venue of arbitration shall be Mumbai, Maharashtra. Legal: The Growing Sphere (TGS)'s website has been compiled in good faith. Cancellation, No Show and Refunds will be as per operator policies TGS warrants to you that TGS shall use its reasonable endeavors to provide the services with reasonable care and skill and, as far as reasonably possible, in accordance with your request and instructions from time to time. Where TGS supplies you with any goods or services supplied by a third party, then TGS is acting as your agent in sourcing the services. TGS will use reasonable care in selecting the supplier and ensuring the order is placed in accordance with your wishes. For the avoidance of doubt, TGS does not and will not provide any representations or recommendations in relation to any of the information and suggestions comprised within the services. You are deemed to be responsible for, and shall use your own skill and judgment as to, the quality, value and suitability of such information and suggestions in relation to deciding whether to enter into any contract with any third party for the sale of services. Your contract for the purchase of products or services is made with the relevant supplier/partner/vendor only. TGS acts as an agent for the supplier/partner/vendor and, unless expressly provided otherwise, all your rights and remedies are against the supplier/vendor/partner. TGS will not be responsible for services offered by TGS as agents for the suppliers/vendors/partners or for any aspect of the relationship between you and any particular supplier/vendor/partner. TGS will however do everything it reasonably can to assist you in any dealings you have with the supplier/vendor/partner. You agree that any contract entered into by you with any of the suppliers/vendors/partners is an independent contract. TGS hereby disclaims any and all liability for any act or omission of any supplier/vendor/partner or any loss incurred by you as a result of any act or omission of a supplier/vendor/partner whether or not arranged through TGS. TGS accepts no liability for any losses or claims arising from any inability to access the website or any failure to complete a transaction.
